Eleven Capital AD (11C) At a meeting of the Board of Directors held on October 16, 2026, a decision was made to increase the capital of Eleven Capital AD, pursuant to Article 112 et seq. of the Public Offering of Securities Act (POSA), from EUR 1,173,779.28 to a maximum of EUR 1,642,393.29. This is to be achieved through the issuance of up to 918,851 new ordinary, registered, dematerialized shares, each carrying one vote, with a nominal value of EUR 0.51 and an issue price of EUR 8.30 per share. One subscription right shall be issued for every existing share; 2.5 rights shall entitle the holder to subscribe for one new share (a ratio of 2.5:1). The company’s capital shall be increased only if at least 450,000 new shares are subscribed for and paid up; in such a case, the capital shall be increased solely by the value of the shares subscribed. The Board of Directors has selected and authorized Karoll AD (Investment Intermediary) to act as the investment intermediary for the capital increase.
